CANADA — SITE & APPLICATION TERMS
Terms of Service

These terms govern your use of northpeakpartners.ca (the “Site”), the partner application form, and any pre-engagement communications with North Peak Partners Inc. (“North Peak,” “we,” “us”). They do not constitute a partner agreement or commit either side to any lead-delivery commercial terms — those are set out in a separate written agreement signed by both parties.
01 — ACCEPTANCE
Accepting these terms
By accessing the Site, submitting the Apply form, or booking a partner call, you agree to these terms. If you do not agree, please do not use the Site or submit information through it.
We may update these terms from time to time. The version posted on this page, with the effective date above, is the version that applies to your use of the Site.

03 — WHAT WE OFFER
What the Site is for
The Site describes North Peak’s lead and data infrastructure offering, presents our positioning and verticals, and lets prospective partners apply to be considered for a partnership. Information on the Site is provided for general informational purposes and may change without notice.
Submitting an application does not create a partnership, reservation, allocation of lead capacity, or any commercial commitment on either side. A partnership only begins once both parties sign a separate written partner agreement.
04 — ELIGIBILITY
Who may use the Site
The Site and the application process are intended for business users who are at least the age of majority in their province or territory. If you submit information on behalf of a company, you confirm that you are authorized to do so and that the information you provide is accurate.
The Site is operated from Canada. If you access it from another country, you do so on your own initiative and are responsible for compliance with local law.
05 — ACCEPTABLE USE
Acceptable use
You agree not to:
- Submit false, misleading, or unauthorized information through the Apply form.
- Use the Site to send spam, malware, or any automated traffic that interferes with normal operation.
- Attempt to access non-public areas of the Site, probe its security, or bypass any access controls.
- Scrape, copy, or republish substantial portions of the Site for competing commercial use.
- Use the Site in a way that violates Canadian law, including anti-spam, privacy, or consumer-protection rules.
We may suspend or block access to the Site, or decline to consider an application, if we reasonably believe these terms have been breached.
06 — APPLICATIONS
Applications and communications
We review applications on a selective basis and are under no obligation to respond to, accept, or advance any application. We may decline an application, pause our response, or end pre-engagement discussions at any time, with or without reason.
Information you share during the application process is handled in line with our Privacy Policy. Any non-public commercial information either side marks as confidential should be treated as such; a formal confidentiality agreement may be put in place before more sensitive information is exchanged.
07 — INTELLECTUAL PROPERTY
Intellectual property
The Site, including its content, layout, brand, logos, copy, code, and visual design, is owned by North Peak Partners Inc. or its licensors and is protected by Canadian and international intellectual-property laws.
We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site and submit an application for your own evaluation. No other rights are granted, including no rights to reproduce, modify, distribute, or create derivative works from Site content.
The “North Peak” and “North Peak Partners” names and marks are used by North Peak Partners Inc. and may not be used by others without our prior written permission.
08 — THIRD-PARTY SERVICES
Third-party links and tools
The Site may link to third-party services such as a scheduling tool for partner calls, or rely on third-party providers for hosting, analytics, email, and customer relationship management. We do not control these services and are not responsible for their content, availability, or practices. Your use of a third-party service is governed by that service’s own terms and privacy policy.
09 — DISCLAIMERS
Disclaimers
The Site and its content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, North Peak disclaims all express or implied warranties in relation to the Site, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
Nothing in these terms excludes or limits any rights you have under applicable consumer-protection law that cannot lawfully be excluded or limited, including rights under Quebec’s Consumer Protection Act where it applies.
10 — LIABILITY
Limitation of liability
To the maximum extent permitted by law, North Peak Partners Inc., its directors, officers, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site, even if we have been advised of the possibility of such damages.
For any direct damages, our aggregate liability arising out of or in connection with your use of the Site is limited to one hundred Canadian dollars (CA$100). Commercial limitations between North Peak and a signed partner are set out in the separate partner agreement and override this clause for matters governed by that agreement.
11 — INDEMNITY
Your indemnity
You agree to indemnify and hold North Peak Partners Inc. harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these terms, your misuse of the Site, or your violation of applicable law in connection with the Site or the application process.
12 — PRIVACY
Privacy
Our handling of personal information through the Site is described in our Privacy Policy, which is incorporated into these terms by reference. By using the Site, you acknowledge that policy.
13 — TERMINATION
Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe these terms have been breached or if continued access poses a risk to the Site, our partners, or third parties. Sections that by their nature should survive termination (including intellectual property, disclaimers, liability, indemnity, and governing law) will continue to apply.
14 — GOVERNING LAW
Governing law and forum
These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable in Québec, without regard to its conflict-of-laws rules. Subject to any mandatory consumer-protection rules that grant you a different forum, you and North Peak agree to the exclusive jurisdiction of the courts located in the judicial district of Montréal, Québec, for any dispute arising out of or in connection with these terms or the Site.
As permitted under Article 5 of the Charter of the French Language, the parties have requested that these terms, and any related notices and documents, be drawn up in English. À la demande des parties, les présentes conditions ainsi que les avis et documents qui s’y rattachent sont rédigés en anglais.
15 — GENERAL
General
If any part of these terms is held to be invalid or unenforceable, the rest will remain in effect. Our failure to enforce a right is not a waiver of that right. These terms, together with our Privacy Policy and any signed partner agreement, are the entire agreement between you and us regarding the Site.
